Terms of Service

1. Acceptance of Terms

By accessing or using LuminoBot ("the Service"), operated by Lumino Labs LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Service.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms.

2. Service Description

LuminoBot provides automated e-commerce checkout tools delivered as a software-as-a-service (SaaS) platform. The Service is designed to assist users in automating repetitive checkout workflows on e-commerce websites.

The Service is offered in two tiers:

  • Basic — A self-hosted plan where the user downloads and runs the desktop client software on their own device. The user is responsible for maintaining their own hardware and network environment.
  • Fully Managed — Lumino Labs operates the software on the user's behalf using our own infrastructure. Users configure their preferences through the web dashboard and Lumino Labs handles execution.

The Service includes a desktop client application, a web-based dashboard for configuration and monitoring, and supporting backend infrastructure including image analysis, queue management, and telemetry systems.

3. Account and Access

Accounts are created and authenticated via Discord OAuth. You are solely responsible for maintaining the security of your Discord account and any activity that occurs under your account. You must notify Lumino Labs immediately if you become aware of any unauthorized use of your account.

Access to the desktop client application requires a valid license key issued by Lumino Labs. License keys are personal to the account holder and must not be shared, transferred, sold, or otherwise distributed to any third party. You must not share your account credentials or license keys with others.

Lumino Labs reserves the right to suspend or terminate accounts that violate these terms, engage in abusive behavior, or otherwise act in a manner that Lumino Labs reasonably determines to be harmful to the Service, other users, or third parties.

4. Subscriptions and Billing

The Service is offered through paid subscription plans billed on a monthly basis. All payment processing is handled through Stripe. By subscribing, you authorize Lumino Labs to charge your designated payment method on a recurring monthly basis.

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through the web dashboard. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that date. No partial-month refunds will be issued for unused time within a billing period.

Lumino Labs reserves the right to change subscription pricing at any time. We will provide at least 30 days' advance notice of any price changes. Continued use of the Service after a price change takes effect constitutes your acceptance of the new pricing.

5. Acceptable Use

You agree that you will not, and will not permit any third party to:

  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the software, except to the extent expressly permitted by applicable law
  • Resell, sublicense, lease, rent, or otherwise provide access to the Service to any third party
  • Use the Service for any purpose that is unlawful, fraudulent, or prohibited by these terms
  • Attempt to circumvent, disable, or interfere with license restrictions, usage limits, security measures, or any other protective mechanisms of the Service
  • Interfere with or disrupt the integrity, performance, or availability of the Service or its underlying infrastructure
  • Use the Service to transmit malware, viruses, or any other harmful code

You are solely responsible for your use of the Service and for ensuring that your use complies with all applicable local, state, national, and international laws, regulations, and third-party terms of service. Lumino Labs does not monitor or control how users employ the Service and assumes no responsibility for user conduct.

6. Third-Party Services and Websites

The Service interacts with third-party e-commerce websites on your behalf by automating browser-based actions such as navigation, form filling, and checkout. Lumino Labs does not own, control, endorse, or assume any responsibility for any third-party website or service that you access through or in connection with the Service.

You acknowledge and agree that your use of the Service in connection with third-party websites is entirely at your own risk. Third-party websites may have their own terms of service, acceptable use policies, and automated-access restrictions. It is your responsibility to review and comply with any such terms.

You are solely responsible for any and all consequences arising from automated interactions with third-party websites, including but not limited to account restrictions, suspensions, bans, order cancellations, financial losses, or any other adverse actions taken by third parties.

You agree to indemnify, defend, and hold harmless Lumino Labs LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these terms, or your interaction with any third-party website or service.

7. Payment Card Data

Certain features of the Service allow you to store payment card information for use during automated checkout operations. By entering payment card data into the Service, you expressly consent to the following:

  • Encrypted storage of your card data using AES-256-GCM encryption at rest
  • Automated use of your card data during checkout operations initiated by you or on your behalf

For Fully Managed plan users: your payment card data is decrypted server-side during active checkout operations and transmitted securely over encrypted connections. Card data is only decrypted for the duration of a checkout operation and is re-encrypted immediately afterward.

For Basic plan users: your payment card data is stored locally on your own device and encrypted using operating system-level encryption mechanisms. Card data does not leave your device except during checkout operations you initiate.

You may delete your stored payment card data at any time through the web dashboard. Upon deletion, all copies of the encrypted card data associated with your account will be permanently removed.

8. Intellectual Property

The Service, including all software, source code, object code, documentation, user interfaces, designs, graphics, and all other content and materials, is the exclusive property of Lumino Labs LLC and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these terms and the payment of applicable subscription fees, Lumino Labs grants you a limited, non-exclusive, non-transferable, revocable license to use the software solely for your personal or internal business purposes for the duration of your active subscription. This license does not convey any ownership interest in the software.

You may not copy, modify, adapt, translate, distribute, sublicense, or create derivative works based on the software or any part thereof. All rights not expressly granted herein are reserved by Lumino Labs LLC.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LUMINO LABS LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE.

Without limiting the foregoing, Lumino Labs does not warrant or guarantee that:

  • The Service will result in the successful completion of any purchase, transaction, or checkout operation
  • The Service will operate without interruption, errors, bugs, or downtime
  • The Service will be compatible with any particular website, platform, or service, now or in the future
  • The Service will not be detected, blocked, throttled, or otherwise restricted by third parties

You acknowledge that e-commerce websites frequently update their interfaces, security measures, and terms of service, and that such changes may affect the functionality or availability of the Service without notice.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LUMINO LABS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITIES, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF LUMINO LABS LLC EXCEED THE TOTAL AMOUNT PAID BY YOU TO LUMINO LABS LLC IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, AND REGARDLESS OF WHETHER LUMINO LABS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Termination

Either party may terminate this agreement at any time. You may terminate by canceling your subscription through the web dashboard. Lumino Labs may terminate or suspend your access to the Service by providing notice to the email address or Discord account associated with your account.

Lumino Labs may immediately suspend or terminate your access to the Service, without prior notice, if you violate these terms, engage in conduct that Lumino Labs reasonably believes is harmful to the Service or other users, or if required to do so by law.

Upon termination, your license to use the software is immediately revoked. You must cease all use of the desktop client and delete any copies in your possession. Any stored data associated with your account, including payment card data and checkout profiles, will be deleted in accordance with our Privacy Policy.

Sections 5 (Acceptable Use), 6 (Third-Party Services and Websites), 8 (Intellectual Property), 9 (Disclaimers), 10 (Limitation of Liability), and 13 (Governing Law) shall survive termination of this agreement.

12. Modifications

Lumino Labs reserves the right to modify, amend, or replace these Terms of Service at any time and at its sole discretion. When we make material changes, we will notify you by sending a notice to the email address associated with your account or by posting a prominent notice within the Service.

The updated terms will be effective upon posting unless a later effective date is specified. Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated terms. If you do not agree to the modified terms, you must stop using the Service and cancel your subscription.

13. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws principles.

Any legal action or proceeding arising out of or relating to these terms or the Service shall be brought exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction and venue of such courts.

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
